Our assistance starts in the infancy of the business enterprise. We help select an entity structure, memorialize the rights and obligations of founders, analyze and protect intellectual property rights, develop compensation plans and policies, structure venture capital and other private financings, public offerings, and joint ventures. We understand the applicable corporate and securities laws and assist in structuring and negotiating venture capital financings. Our involvement does not end when the company concludes its fund raising. We also assist in ongoing corporate transactions, including general corporate contracts, technology agreements, strategic alliances, sales agreements, and other important commercial arrangements. We help our clients as they emerge and face the issues encountered by any business by providing a wide array of legal advice on labor, real property, litigation, securities, and merger and acquisition matters.

For venture capitalists and other investors, we help with many of the same issues, but from the investor's perspective. We work with investors in conducting due diligence, including intellectual property assessment, developing deal structure, and assessing various legal concerns.
